About these terms<\/h2>\n<p>These Business Subscription Terms govern subscriptions to the Key Knowledge training platform and related courses, assessments, certificates and compliance resources.<\/p>\n<p>The service is provided by:<\/p>\n<p>Key Knowledge Sweden AB<br \/>\nOrganisation number: 559328-4861<br \/>\nVAT number: SE559328486101<br \/>\nBreviksv\u00e4gen 87<br \/>\n135 68 Tyres\u00f6<br \/>\nSweden<br \/>\nEmail: info@keyknowledge.com<\/p>\n<p>The service is offered exclusively to businesses, public bodies and other organisations acting for professional purposes. It is not offered to consumers.<\/p>\n<p>By placing an order, the person completing the purchase confirms that they:<\/p>\n<ul>\n<li>are acting for business or professional purposes;<\/li>\n<li>are authorised to enter into the agreement on behalf of the customer; and<\/li>\n<li>have provided accurate company, billing and tax information.<\/li>\n<\/ul>\n<p>If the customer has signed a separate written agreement with Key Knowledge Sweden AB, that agreement takes precedence where it conflicts with these terms.<\/p>\n<h2>2. The service<\/h2>\n<p>The customer receives access to the courses, features, user capacity and services included in the plan identified at checkout or in the applicable order.<\/p>\n<p>The service may include self-paced courses, assessments, AI-assisted learning tools, scenario-based exercises, administrative reporting, completion tracking and digital certificates.<\/p>\n<p>Access is limited to the number of authorised users included in the selected plan. Accounts and access credentials may not be shared outside the customer&#8217;s organisation.<\/p>\n<p>We may update course content and platform functionality to reflect regulatory developments, improve the service or maintain its security. We will not materially reduce the principal features of a paid plan during an existing billing period.<\/p>\n<h2>3. Educational and compliance information<\/h2>\n<p>The service provides training and general compliance information. It does not constitute legal, regulatory, accounting or other professional advice.<\/p>\n<p>Laws and regulatory requirements vary between organisations and may change over time. The customer remains responsible for:<\/p>\n<ul>\n<li>determining which requirements apply to its activities;<\/li>\n<li>obtaining professional advice where appropriate;<\/li>\n<li>implementing suitable internal policies and controls; and<\/li>\n<li>making its own legal and compliance decisions.<\/li>\n<\/ul>\n<p>A certificate records a learner&#8217;s completion of the applicable course or assessment. It does not constitute regulatory approval, an official licence or a guarantee that the customer or learner complies with applicable law.<\/p>\n<h2>4. Subscriptions, renewal and cancellation<\/h2>\n<p>Unless the applicable order states otherwise, subscriptions:<\/p>\n<ul>\n<li>begin when the order is confirmed;<\/li>\n<li>are billed monthly in advance; and<\/li>\n<li>renew automatically for successive monthly periods until cancelled.<\/li>\n<\/ul>\n<p>Where the customer has agreed a fixed subscription term in a separate written order, the subscription is billed monthly during the committed term and cannot be cancelled with effect before the end of that term, except as expressly permitted by these terms or the order.<\/p>\n<p>The customer may cancel through the Stripe customer portal or by contacting billing@keyknowledge.com. Cancellation takes effect at the end of the current paid billing period. To prevent the next renewal, the subscription must be cancelled no later than the day before the next billing date.<\/p>\n<p>Payments already made are not refundable or prorated merely because the customer cancels or does not use the service. This does not affect any refund expressly agreed in writing or required by applicable law.<\/p>\n<h2>5. Fees, payment and taxes<\/h2>\n<p>The subscription fee is the amount displayed at checkout or stated in the applicable order. Fees are stated and charged in euro (EUR), unless another currency is shown at checkout or stated in the applicable order.<\/p>\n<p>Unless expressly stated otherwise, prices exclude VAT and other applicable indirect taxes. Applicable taxes will be added to the amount payable.<\/p>\n<p>The customer must provide accurate company, billing, address and tax information. Where the reverse-charge mechanism applies, the customer is responsible for reporting and paying the applicable VAT in its jurisdiction.<\/p>\n<p>Depending on the selected payment method, fees may be charged automatically through Stripe or invoiced according to the payment terms shown on the invoice.<\/p>\n<p>We may suspend access if an undisputed invoice or subscription charge remains overdue more than ten (10) days after notice has been provided.<\/p>\n<p>We may change subscription prices by giving at least 30 days&#8217; notice. A price change applies from a future renewal and does not affect a billing period that has already been paid.<\/p>\n<h2>6. Acceptable use<\/h2>\n<p>The customer must ensure that its users use the service lawfully and in accordance with these terms.<\/p>\n<p>The customer and its users may not:<\/p>\n<ul>\n<li>resell, sublicense or commercially redistribute the service or course content;<\/li>\n<li>permit access by persons outside the customer&#8217;s organisation;<\/li>\n<li>copy or reproduce course materials except for permitted internal use;<\/li>\n<li>circumvent user limits or security controls;<\/li>\n<li>interfere with the operation or security of the service;<\/li>\n<li>use the service to infringe another person&#8217;s rights; or<\/li>\n<li>submit unlawful, confidential or inappropriate material through AI-assisted features.<\/li>\n<\/ul>\n<p>The customer is responsible for activity conducted through its accounts and must notify us promptly of suspected unauthorised access.<\/p>\n<p>The customer retains ownership of material its users submit through the service, including through AI-assisted features. The customer grants us a limited right to process that material in order to provide, secure and improve the service. Output generated by AI-assisted features is provided for training purposes only and may contain errors; the customer is responsible for reviewing it before relying on it.<\/p>\n<h2>7. Intellectual property<\/h2>\n<p>The platform, courses, assessments, AI-assisted features, certificates, text, graphics, software and other content are owned by Key Knowledge Sweden AB or its licensors.<\/p>\n<p>During an active subscription, the customer receives a limited, non-exclusive and non-transferable right to use the service internally for its own business activities.<\/p>\n<p>No ownership or other intellectual-property rights are transferred to the customer.<\/p>\n<h2>8. Availability, suspension and termination<\/h2>\n<p>We will use reasonable commercial efforts to keep the service available. We do not guarantee uninterrupted or error-free operation.<\/p>\n<p>Temporary interruptions may occur because of maintenance, updates, third-party service failures, security incidents or circumstances outside our reasonable control.<\/p>\n<p>We may suspend or terminate access where reasonably necessary because of:<\/p>\n<ul>\n<li>overdue payment;<\/li>\n<li>a material breach of these terms;<\/li>\n<li>unlawful or abusive use;<\/li>\n<li>a threat to the security or operation of the service; or<\/li>\n<li>a legal or regulatory requirement.<\/li>\n<\/ul>\n<p>Where reasonably practicable, we will notify the customer and allow it to correct the issue before terminating the subscription.<\/p>\n<p>The customer may terminate the subscription with immediate effect if we materially breach these terms and fail to remedy the breach within thirty (30) days of written notice. In that case, we will refund any prepaid fees covering the period after termination.<\/p>\n<p>Neither party is liable for failure or delay in performance caused by circumstances beyond its reasonable control. Payment obligations already incurred are not excused.<\/p>\n<h2>9. Liability<\/h2>\n<p>To the extent permitted by applicable law, neither party is liable for indirect or consequential loss, including loss of profit, revenue, business opportunity, goodwill or anticipated savings.<\/p>\n<p>Our total aggregate liability arising out of the service or subscription will not exceed the subscription fees paid by the customer during the 12 months immediately preceding the event giving rise to the claim.<\/p>\n<p>These limitations do not apply to liability arising from fraud, intentional misconduct or other liability that cannot lawfully be limited.<\/p>\n<h2>10. Data protection<\/h2>\n<p>Personal data is handled in accordance with our Privacy Policy.<\/p>\n<p>Where Key Knowledge Sweden AB processes personal data on behalf of the customer as a data processor, the parties will be subject to an applicable data-processing agreement where required.<\/p>\n<p>The customer is responsible for having an appropriate legal basis for providing user and employee information to us.<\/p>\n<p>When a subscription ends, access to the platform is revoked at the end of the final billing period. Upon written request, we will provide the customer with an export of its learner completion records and certificates. We may retain completion records, certificates and related documentation after termination to the extent necessary for audit, legal and regulatory purposes.<\/p>\n<h2>11. Changes to these terms<\/h2>\n<p>We may update these terms from time to time.<\/p>\n<p>Material changes affecting an existing subscription will be communicated in advance and will apply from a future renewal period. The customer may cancel the subscription before the revised terms take effect.<\/p>\n<p>The version accepted by the customer at the time of purchase will remain applicable until a revised version takes effect.<\/p>\n<h2>12. Notices<\/h2>\n<p>We may give notices under these terms by email to the administrative or billing contact registered on the customer&#8217;s account. The customer may give notice by email to info@keyknowledge.com. A notice sent by email is deemed received on the next business day.<\/p>\n<h2>13. Language<\/h2>\n<p>These terms are prepared in English.<\/p>\n<p>Any translation is provided for convenience only. In the event of an inconsistency between the English version and a translated version, the English version will prevail to the extent permitted by applicable law.<\/p>\n<h2>14. Governing law and disputes<\/h2>\n<p>These terms and the agreement between the parties are governed by Swedish law.<\/p>\n<p>The parties will first attempt to resolve any dispute through good-faith discussions. If the dispute cannot be resolved, it will be decided by Stockholm District Court as the court of first instance.<\/p>\n<h2>15.
